1. Acceptance of Terms

4.1 General Prohibited Conduct

• Impersonating any person or entity, or falsely representing your affiliation with a person or entity;
• Using the Services to harass, threaten, intimidate, abuse, or harm any individual or group;
• Violating any applicable food safety, consumer protection, or other regulatory laws;
• Engaging in any activity that could damage the reputation, goodwill, or business of Hangry Joe's.

4.2 Technical Prohibited Conduct

• Attempting to gain unauthorized access to any part of the Site, our servers, or any connected databases or systems;
• Introducing viruses, malware, ransomware, spyware, or any other harmful or disruptive code to the Site;
• Using automated scripts, bots, scrapers, crawlers, or other automated means to access, scrape, or collect data from the Site without our express prior written consent;
• Attempting to decompile, reverse engineer, disassemble, or otherwise derive the source code of the Site or any software used in connection with the Services;
• Circumventing or attempting to circumvent any security, access control, or anti-fraud measures implemented on the Site;

Cross-contamination is possible during preparation. HANGRY JOE'S EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE;
• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
• WARRANTIES AS TO THE ACCURACY, RELIABILITY, TIMELINESS, OR COMPLETENESS OF ANY CONTENT ON THE SITE;
• WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM USING THE SERVICES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL HANGRY JOE'S, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, business, goodwill, or anticipated savings;
• Damages arising from unauthorized access to or alteration of your data or transmissions;
• Damages arising from the conduct of any third party in connection with the Services;
• Damages arising from your reliance on information obtained through the Site;
• Personal injury or property damage resulting from your use of the Services.

EVEN IF HANGRY JOE'S HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO HANGRY JOE'S IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Some states do not allow the limitation of liability for certain types of damages. To the extent that applicable law does not allow the limitation or exclusion of liability as set forth above, such limitations or exclusions shall apply to the fullest extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Hangry Joe's and its respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation;
• Your use or misuse of the Services or the Site;
• Your User Content or any content you submit, post, or transmit through the Site;
• Your infringement of any intellectual property or other rights of any third party;
• Your negligent or intentional wrongful conduct;
• Your violation of any third party's rights, including privacy rights;
• Any dispute between you and another user of the Services.

Hangry Joe's reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any such matter without the prior written consent of Hangry Joe's.

13. Governing Law and Jurisdiction

These Terms and any dispute arising from or relating to these Terms, the Site, or the Services shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Hangry Joe's principal operations are located, without regard to its conflict of law provisions.

Subject to the dispute resolution provisions set forth in Section 14 below, you hereby irrevocably consent to the exclusive personal jurisdiction of the state and federal courts located in the United States with respect to any legal action or proceeding arising from these Terms or your use of the Services. You waive any objection to the laying of venue of any such proceeding in such courts, and you waive any objection that such courts represent an inconvenient forum.

These Terms shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services informally by contacting Hangry Joe's at [email protected]. We will attempt in good faith to resolve any dispute informally within thirty (30) days of receiving your written notice. If the dispute is not resolved within that period, either party may proceed with the dispute resolution process described below.

14.2 Binding Arbitration

EXCEPT FOR CLAIMS THAT QUALIFY FOR SMALL CLAIMS COURT, ANY AND ALL DISPUTES ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR THE SERVICES, INCLUDING ANY QUESTION REGARDING THE EXISTENCE, VALIDITY, OR TERMINATION OF THESE TERMS, SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY A RECOGNIZED ARBITRATION BODY UNDER ITS THEN-APPLICABLE ARBITRATION RULES.

The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding upon both parties. Judgment upon the award may be entered in any court of competent jurisdiction. The arbitrator shall have the authority to award any relief that would be available in a court of law, subject to the limitations set forth in these Terms.

14.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND HANGRY JOE'S AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator shall have no authority to consolidate more than one person's claims or to preside over any class or representative proceeding.

14.4 Waiver of Jury Trial

BY AGREEING TO THESE TERMS, YOU AND HANGRY JOE'S EACH KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO A TRIAL BY JURY FOR ANY CLAIM SUBJECT TO ARBITRATION UNDER THESE TERMS. This waiver applies to all disputes between the parties.

14.5 Small Claims Court

Notwithstanding the foregoing arbitration provision, either party may bring an individual action in a small claims court of competent jurisdiction, provided that the claim remains in small claims court and is not removed or appealed to a court of general jurisdiction.

15. Term and Termination

These Terms shall remain in full force and effect for as long as you use, access, or interact with the Services. Either party may terminate this Agreement at any time, for any reason or no reason, with or without notice.

Hangry Joe's reserves the right, in its sole and absolute discretion, to:

• Suspend or terminate your access to the Services immediately, without prior notice or liability;
• Disable or delete your account and all associated data;
• Cancel pending orders and issue appropriate refunds where applicable;
• Take any other action we deem reasonably necessary in response to a violation of these Terms or applicable law.

Upon termination of your access to the Services for any reason, all licenses and rights granted to you under these Terms shall immediately cease. The following sections shall survive termination: Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, Dispute Resolution, and any other provisions that by their nature should survive termination.

16. Changes to These Terms

Hangry Joe's reserves the right to modify, update, or revise these Terms at any time in our sole discretion. We will provide notice of material changes by updating the "Last Updated" date at the top of this page, and in some cases, we may provide additional notice via email or a prominent notice on our Site.

The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms, and the remaining provisions shall continue in full force and effect.

The parties agree that the court or arbitrator should endeavor to give effect to the parties' original intentions as closely as possible in a valid provision that is consistent with the purpose and intent of the original provision.

18. Waiver

No failure or delay by Hangry Joe's in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right, power, or remedy shall preclude any further or future exercise of that right, power, or remedy, or the exercise of any other right, power, or remedy. A waiver of any breach of any provision of these Terms shall not be construed as a waiver of any subsequent breach of the same or any other provision.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published by Hangry Joe's on the Site, constitute the entire agreement between you and Hangry Joe's with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, understandings, representations, warranties, and negotiations, whether oral or written, between you and Hangry Joe's regarding the Services.

No representation, undertaking, or promise shall be taken to have been given or be implied from anything said or written in negotiations between the parties prior to the execution of these Terms, except as expressly stated in these Terms.

20. Force Majeure

Hangry Joe's shall not be liable for any failure to perform its obligations under these Terms if such failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions, war, terrorism, civil unrest, fire, flood, power outages, labor disputes, supply chain disruptions, or failures of third-party service providers. In the event of a force majeure event, our obligations under these Terms shall be suspended for the duration of such event, and we shall make reasonable efforts to resume performance as soon as practicable.

21. Electronic Communications and Consent

By using our Services, you consent to receive electronic communications from us, including emails, text messages, push notifications, and other digital communications related to your orders, account, and our Services. You acknowledge that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

You may opt out of non-transactional marketing communications at any time by following the unsubscribe instructions included in any such communication or by contacting us at [email protected]. Please note that opting out of marketing communications will not prevent you from receiving transactional communications related to your orders or account.

22. Compliance with Laws

You agree to use our Services in compliance with all applicable federal, state, and local laws, rules, regulations, and ordinances of the United States, including but not limited to:

• The Federal Trade Commission Act (15 U.S.C. § 45), governing unfair or deceptive trade practices;
• The Computer Fraud and Abuse Act (18 U.S.C. § 1030);

23. Assignment

Any attempted assignment in violation of this provision shall be null and void. Hangry Joe's may freely assign or transfer these Terms, or any rights or obligations hereunder, to any affiliate, successor entity, or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets, without your consent or notice to you.
